The Association is a voluntary organisation of institutions (legal entities) doing business in finance and closely related areas. The membership in the Association is voluntary and has two forms:
- full membership offered to those legal entities licensed to banking business under the Banking Act
- associate membership which is opened to other legal entities involved in areas closely related to banking as well as to branches of foreign banks.
Membership is granted on the basis of submitting an application and its approval by the members' Assembly.
Membership in the Association is terminated if:
- the member resigns
- the member is expelled
- the member ceases to exist (or its banking licence is withdrawn, in case of members, where the licence is required)
- the decision on admission into associate membership is annulled by the members' Assembly
- the Association is dissolved.
For serious reasons (e.g. imposed administration), the membership of a member of the Association may be suspended.
The objects of the Association are in particular
- to represent interests of its members towards the Parliament, government and other executive bodies, the Czech National Bank and other legal entities;
- to represent the interests of its members abroad and arrange for the Association to be represented in international professional bodies and organisations;
- to coordinate professional education and training for banking staff, to support professional standards at banks, among other things to support the development of the theory and practice of banking, the use of foreign professional resources;
- to provide information and analytical services concerning banking;
- to represent the role and interests of banking in public, among other things also by public relations and media work;
- to conduct activities aimed at standardising the procedures in banking, establishing rules and practices on national and international scale as well as encouraging the necessary approximation of Czech regulations to those of the European Union;
- to operate in such a way so as to prevent disputes among the members of the Association;
- to exert other activities to promote the interests of the members of the Association.
A member of the Association has a right to
- participate in events organised by the Association within the scope of its business
- participate in the outcomes of activities of the Association as well as in the benefits and services provided by it
- raise proposals and objections concerning the activities of the Association
- participate in the supervision and management of the Association (granted to full members only)
- vote for the bodies of the Association and to be elected as member of these bodies (granted to full members only).
A member of the Association has a duty to
- follow the Statute of the Association, the Code of Banking Ethics of the Association, the resolutions of the bodies of the Association, and to pay membership fees
- participate, according to its interests, expertise and potential, in fulfilling the objectives of the Association
- provide the office of the Association with information that has been considered necessary by the Assembly or the Board of the Association
- act in accordance with the interests of the Association.
The Bodies of the Association and their Powers
The Association has the following bodies:
- The Assembly of Members of the Association
The Assembly of Members is the supreme body of the Association. It comprises the top representatives of the statutory bodies of the legal entities who are members of the Association. Every member has one representative in the Assembly. The Assembly of members gathers as needed, usually twice a year.
- The Board of the Association
The Board of the Association is a statutory body governing the activities of the Association and acting on its behalf. The board has at least five members and the maximum of nine members. The term of office of the Board is three years. The Board comprises the President, the Vice-President and Board members.
- The President and Vice-President
The President, or the Vice-President if the President is absent and within his powers also Secretary General, represent the Association to the outside world and sign key documents on behalf of the Association.
- The Supervisory Board of the Association
The Supervisory Board has no fewer than three members and no more than seven members. They are elected by the Assembly of the Association. The term of office is three years. It shall be scheduled in such a way, so that the beginning and the end of the term of office does not coincide with the beginning and the end of the term of office of the Board.
The Board of the Association sets up standing or temporary commissions from the employees of the Association´s members, focusing on individual areas of expertise. The members of the commissions may be members of staff of the Association's full or associate member organisations who are interested in working in such a commission. Commissions can also have secretaries who are usually staff working for the office of the Association. They facilitate communication between the commission and the office of the Association and provide administrative support to the work of the commission.
The Apparatus of the Association comprises the Secretary General and the Office of the Association. The Secretary General is the executive spokesperson of the Association. He/she is appointed by the Board of the Association for three years and is supervised by the Board through its President. The Secretary General manages the office of the Association and acts on behalf of the Association. The office of the Association is responsible for the operation and support of the activities of the Association.
Financial Management
The main instrument of the Association's management is the budget, which is approved by the Assembly of members. The revenues for the budget are annual membership dues, members' entry fees and extraordinary contributions if appropriate. The fee of an associate member may reach a maximum of fifty per cent of the fee of a full member. The Association works on a principle of balanced budgetary income and expenditure.
